Olly Terms of Services

Introduction
These Terms of Service (“Terms”) govern your access to and use of the Olly platform, including the website, mobile applications, and all related services (collectively, the “Services”), operated by Reelo Technology Pvt. Ltd. (“Company”, “we”, “us”, or “our”).
By creating an account or using the Services, you represent that you are at least 18 years of age and have the authority to agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, you must not use the Services.
Description of Service
Account Registration
You must create an account to use the Services. You are responsible for providing accurate information and maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from your failure to protect your account.
Platform Connection
To enable the core features of Olly, you may connect your accounts on third-party platforms. By doing so, you:
Authorize Olly to access and process your business data, reviews, and related information from those platforms
Represent that you are the authorized owner or administrator of those accounts
Acknowledge that third-party platforms may change their services or policies at any time, which may affect the functionality of Olly
Subscription and Payments
The Services are offered on a subscription basis. Plan details and pricing are published on our website and may be updated from time to time.
We may offer a free trial. Upon expiry, your access to paid features will be restricted unless you subscribe to a paid plan. We may modify or discontinue the free trial at any time.
Payments are processed through third-party payment service providers. By subscribing, you authorise recurring charges as per your selected plan. All fees are exclusive of applicable taxes (including GST), which are your responsibility.
Subscription fees are non-refundable except where required by law. Cancellation takes effect at the end of the current billing period.
Acceptable User
You agree not to:
Violate any applicable law, regulation, or third-party rights
Submit false or fraudulent information
Reverse engineer, decompile, or disassemble any part of the Platform
Interfere with or disrupt the Services
Attempt to gain unauthorized access to our systems
Resell or sublicense the Services without our prior written consent
Use the Services for any purpose that competes with Olly
AI Generated Content
The Services use artificial intelligence to generate suggested review responses, analytics, and insights. AI-generated content is provided as suggestions only and may contain inaccuracies.
You are solely responsible for reviewing and approving all AI-generated content before it is posted to any third-party platform. We do not guarantee the accuracy or appropriateness of AI-generated responses and shall not be liable for any consequences arising from their use or publication.
Intellectual Property
The Platform, including its design, code, algorithms, and branding, is the exclusive property of Reelo Technology Pvt. Ltd. You retain ownership of content you create through the Platform. By using the Services, you grant us a non-exclusive, royalty-free license to use and store your content solely for the purpose of providing the Services. Any feedback or suggestions you provide may be used by us without obligation.
Third Party Platforms
The Services integrate with third-party platforms. We are not affiliated with, endorsed by, or responsible for any third-party platform. Your use of those platforms is governed by their respective terms and policies. If a third-party platform changes its services or restricts access, certain features of Olly may become unavailable, and we shall not be liable for any resulting loss.
Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, accuracy of AI-generated content, and uninterrupted availability of the Services.
Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of these Terms or the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Indemnification
You agree to indemnify and hold harmless Reelo Technology Pvt. Ltd. and its officers, directors, employees, and affiliates from any claims, liabilities, damages, and expenses arising from your use of the Services, violation of these Terms, violation of any third-party terms, or content you post through the Services.
Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases. Sections 7, 8, 10, 11, 12, and 14 shall survive termination.
Governing Law and Disputes
These Terms are governed by the laws of India. Any dispute shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, conducted in Ahmedabad, India, by a sole arbitrator mutually appointed by both Parties.
General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right shall not constitute a waiver. We may modify these Terms at any time; material changes will be communicated at least 15 days in advance. Continued use after the effective date constitutes acceptance.
